ALchecked 2026-10-01No series-specific feeNo series-specific fee exists. Alabama authorizes series LLCs (Article 11, SS 10A-5A-11.01 to 11.04) but creates NO separate state filing to establish a series: the liability-limitation statement is instead one optional item, Section 10A-5A-2.01(a)(5), within the SAME certificate of formation filed under the general $200 formation fee (or, if added to an existing LLC, within a $100 certificate of amendment) -- both under Section 10A-1-4.31(a)(1)a./b. Neither the $200 nor the $100 is a series-specific amount; they are the base formation/amendment fees whether or not the series statement is included.

AZchecked 2026-10-01No series-specific feeArizona Title 29 (ARS 29-3102(8),(24); 29-3902; 29-3903(B); 29-3904; 29-3910) defines "foreign series" and "registered foreign series" and gives a foreign series its own registration-statement content requirements, but the sections fetched for this state (including the Title 29 chapter index) contain no domestic protected-series/registered-series formation or designation article -- Arizona does not authorize forming a new series LLC domestically. The ACC fee schedule's "Foreign Registration Statement" fee ($150.00 regular / $185.00 expedited) is one fee shared by an ordinary foreign LLC (29-3903(A)) and a foreign series (29-3903(B)); its own "Statement of Withdrawal of Foreign LLC or Foreign Series Registration" row ($10.00 regular / $45.00 expedited) is likewise one shared amount, not a distinct series-only price. No fee schedule row, form, or statute ties a dollar figure uniquely to the foreign-series instrument.

NDchecked 2026-10-01No series-specific feeNDCC 10-32.1-102 (the true series-LLC provision -- 'Series of members, managers, transferable interests or assets') is established purely by the operating agreement under subsection 1, with no Secretary of State filing or fee stated anywhere in its 14 subsections. The $50 fee at NDCC 10-32.1-92(16) prices a textually distinct instrument: 'a resolution for the establishment of a class or series of membership interests,' which is the statute's own defined term ('48. "Series" means a category of membership interests, within a class of membership interests...') and the economic/governance-rights mechanism under 10-32.1-21(1)(a) (amending articles to fix rights/preferences of a class or series of membership interests). That is a share-class provision, the same kind the sealed MA and WI cells correctly exclude as unrelated to series-LLC authority -- it does not attach to a 10-32.1-102 series.

Field definitions
Series Fee
The state filing fee to form a series of a domestic LLC under the state's LLC act, where that state's law provides for series formation. 'No series-specific fee' means the checked official sources list no fee specific to a series; the note under each row gives that row's reason, which for some states is that the LLC act has no series provisions. Unknown means series are authorized but no official source checked states a dollar fee.

Field definitions are listed below the table. Hover a cell for its source note. Typed unknowns (e.g., “Portal not observable”) are methodological limits, not data gaps.

What this matrix covers

This REFERENCE surface reports the state filing fee to form a series of a domestic LLC, cited to each jurisdiction's official fee schedule or LLC act. Fees are the state filing fee only and exclude any registered-agent or service fee. "No series-specific fee" means the checked official sources list no fee specific to a series; the note under each row gives that row's reason, which for some states is that the LLC act has no series provisions. Where series are authorized but no official source states a dollar fee, the row carries the Unknown badge. It is not a recommendation to form a series LLC or to choose a jurisdiction.

How to read this matrix

Each row is a U.S. jurisdiction (50 states plus the District of Columbia). The fee shown is the state filing fee to form a series of a domestic LLC, where that state's law provides for one; it excludes any registered-agent or service fee. “No series-specific fee” means the checked official sources list no fee specific to a series; the note under each such row gives that row's reason, which for some states is that the LLC act has no series provisions. A typed unknown (shown as “Unknown”) means a state's statute confirms series are authorized but no official source checked states a dollar filing fee for it — a methodological limit, not a confirmed absence of a fee. Every figure is cited to the state's official source linked on each row. States can revise fees at any time — confirm against the linked source before filing. Method notes live at /about/methodology/.

Frequently asked questions

What does the series LLC fee cover?

This matrix tracks the one-time state filing fee to form a series of a domestic LLC, where the state's LLC act provides for series formation. It does not include any registered-agent, publication, or ongoing annual-report fee, which are separate. For the base LLC formation fee itself, see /business-formation/domestic-llc-formation-fees-by-state/.

Why do some rows show "No series-specific fee" instead of a dollar amount?

The checked official fee sources list no fee specific to a series for that state. The note under each such row gives that state's own reason — for some states that is because the LLC act has no series provisions at all; for others a series exists but no separate fee line was found for it. See /business-formation/series-llc-explainer/ for which states authorize domestic series LLC formation.

Why do three states show "Unknown" instead of a fee?

District of Columbia, Florida, and West Virginia authorize series LLC formation, but no official fee schedule or statutory instrument checked for this matrix states a specific dollar amount for the series-designation filing itself. That is a methodological limit, not a confirmed absence of a fee.

Are these fees current?

Each row links to the state's official source and is cited to that primary document; where a snapshot was captured, the figure is also verified against it. States can revise fees at any time — confirm against the linked source before filing.
