Research scope
Covers all 51 US jurisdictions (50 states + DC).
How to read this matrix
Each row is a U.S. state. Fields encode what is publicly observable through the state's primary business registry surfaces. Typed unknowns mark fields that cannot be observed under the methodology at /about/methodology/.
Sources
Primary-source citations per row live in the matrix's sources.json companion. The full source taxonomy lives at /about/source-registry/.
Frequently asked questions
Do any cohort states require member names on the Articles of Organization?
The matrix tracks member_name_required_at_formation and member_name_publicly_visible separately — a state may not require names at formation but surface them on an annual report or statement of information.
If I use a nominee manager, does that replace member disclosure?
Nominee manager practice is operational, not statutory — see organizer-name-visibility-by-state and the Wyoming vs Delaware vs New Mexico triad for how formation-layer anonymity differs from operating-state disclosure.
How does California LLC-12 interact with anonymous home-state formation?
CA biennial LLC-12 can require manager/member listing within 90 days — entity-level listing is possible, which is why the four-layer framework treats foreign qualification as its own layer.
Where can I compare public filing fields across states?
See /business-formation/public-filing-fields-by-state/ for required vs optional fields on formation documents in the same cohort.
Is this matrix legal advice on how to file?
No. It records observable public-filing requirements and visibility as of source dates in sources.json. Consult counsel for entity-specific filing strategy.
Are LLC members public record?
It varies by jurisdiction and by filing stage, which is why this matrix tracks member_name_required_at_formation and post_formation_disclosure as separate fields. As of the source dates in sources.json, 37 of 51 jurisdictions do not require member names on the Articles of Organization; the remainder are conditional or require them through a supplemental report. A state that collects no member name at formation may still list managers or members on a required annual or biennial filing.
Are LLC owners public record, or only managers?
The filing records governing persons, not equity ownership. In manager-managed structures the disclosed names are managers: Nevada's initial and annual lists require the names and titles of all managers, or of all managing members if there are none (NRS 86.263(1)(c)-(d)), and Florida's Annual Report lists authorized representatives or managing members (Fla. Stat. §605.0212). Members who do not manage are generally not listed.
Is the owner of an LLC public record in California?
Not at formation. California Articles of Organization do not list members — Cal. Corp. Code §17702.01(b) requires the LLC name, registered agent, principal office address, and management type only. The Statement of Information (SI-200 / SI-550) then requires each manager, or each member if the LLC is member-managed with no elected or appointed manager, per §17702.09(a)(5), and those disclosures are public record in the CA Secretary of State bizfile entity records.
How do you find the owner of an LLC in Texas?
Texas is conditional at formation. Form 205 Article 3 (Governing Authority) requires the name and address of each initial governing person — managers if manager-managed, members if member-managed — so a member-managed Texas LLC does carry member names on the certificate, and the form instructions state that a document on file with the secretary of state is a public record subject to public access and disclosure. Texas LLCs file no member-listing annual report with the Secretary of State; the franchise-tax Public Information Report that lists managers and members is a separate Comptroller filing.
