Research scope

All 51 U.S. jurisdictions (50 states + DC). enactment_year records the year each state's legislature enacted its original LLC-enabling statute — the first time that jurisdiction made the limited liability company available as a business form. Wyoming was first, in 1977; every other jurisdiction followed over the next two decades.effective_date is populated only where a primary source documents a distinct legal-effect date later than enactment. recodification_note flags a later full re-adoption of LLC law (a new act, a renumbered chapter) that must not be conflated with the state's original enactment year.

How to read this matrix

Each row is a U.S. state. The cited source is the state's own statute or session-law text, not a secondary aggregator — where the original enacting act itself is not directly accessible online, the citation binds to the state's current codified statute instead, and the note field says which. Typed unknowns mark states not yet primary-source-verified under the methodology at /about/methodology/.

Frequently asked questions

Which state first allowed LLCs?

Wyoming, in 1977 — the first Wyoming Limited Liability Company Act (Wyo. Stat. §17-29-101 et seq.). No other U.S. jurisdiction had an LLC-enabling statute before Wyoming's.

When did all 50 states have LLC statutes?

By the mid-to-late 1990s every U.S. jurisdiction had enacted an LLC-enabling statute, roughly two decades after Wyoming's original 1977 act. See the matrix above for each state's specific enactment year.

What does 'enactment year' mean on this matrix, versus effective date?

Enactment year is when the legislature passed and signed the original LLC-enabling act. A small number of states set a later effective date for that same act — where a primary source documents a distinct effective date, it is noted separately and does not change the enactment year.

Why do some states show a recodification note?

Several states have since replaced their original LLC act with a new one — often adopting a Uniform Limited Liability Company Act variant, or renumbering the chapter entirely. A recodification is a later re-adoption of LLC law, not the state's original enactment; this matrix tracks the original enactment year and notes the recodification separately where one is documented.
