“Foreign” here means another U.S. state, not another country. Form in Wyoming, do business in California, and California wants you registered as a foreign LLC before you operate there. You owe this in every state where you have a real presence — not just where you formed. It is the one formation-adjacent fee you pay more than once, which is exactly why the per-state number is worth knowing before you expand.

What it costs

This is the widest fee in the set. The same filing — register your out-of-state LLC — runs from $50 in Michigan to $765 in South Dakota, with Texas a step behind at $750: a fifteen-fold spread for identical paperwork. There is no national logic to it, so you check the specific state you are entering rather than reason from an average. Register in three states and you are paying three of these, at three different prices, and the gap between the cheap states and the expensive ones is large enough that it can shift the order you expand in.

The trap: whose fee is that, exactly?

We cite each state's LLC line specifically, and for this topic that means the foreign-LLC line — the fee to register an LLC formed elsewhere, not the fee a home-state LLC pays to form. Foreign-corporation and foreign-limited-partnership fees usually sit on the same schedule, often a line or two away and sometimes at a different price — close enough to grab by mistake. The number in every row here is the one for a foreign limited liability company, read off the state's own schedule and bound to that entity and that direction.

When the fee depends on how you file

A few states quote the same registration two ways. Indiana is the one to notice: $75 to file your foreign registration electronically, $125 on paper — a $50 gap on identical paperwork, for nothing but choosing the slower channel. South Dakota, the most expensive state on the list, shaves $15 off for filing online ($750 versus the $765 paper figure). We publish the standard paper number in the table and note the electronic price in the row; where the cheaper electronic path exists, it is usually worth taking. And one state doesn't quote a flat number at all — Tennessee charges by membership: $50 per member, a $300 floor and a $3,000 ceiling, so a two-member LLC and a fifty-member LLC pay very different amounts to register there. The lesson is the same one that runs through the whole table: a posted fee is sometimes a default, not a fixed cost. Read the filing options before you assume the number is the number.

What this page does not tell you

  • Whether you actually need to register — “transacting business” is defined by each state, and a light footprint may not trigger it. When in doubt, the state's own guidance governs.
  • The annual cost of staying registered — a registered agent in each state, plus that state's annual report or franchise fee, are recurring and separate from this one-time registration.
  • Certified-copy, certificate-of-good-standing, or expedite surcharges, which several states require alongside the registration and price separately.
  • Name conflicts — if your LLC's name is taken in the new state, you may have to register under an assumed name, which is a different filing.

What is foreign registration?

"Foreign" here means formed in another U.S. state, not another country. When an LLC or corporation does business in a state other than the one it was formed in, that state generally requires it to register as a foreign entity (often called foreign qualification) and pay a filing fee. The matrix records that fee for LLCs and corporations per jurisdiction.

Why are the LLC and corporation fees sometimes different?
