Cells document whether each state's LLC act enacts four specific, newer statutory features: an electable Close LLC status, domestic Series LLC formation authority, a dedicated DAO LLC election, and a non-expiring (“lifetime”) member voting proxy. Every cell is cited to a primary source (chain-complete: source URL + snapshot + hash), bound to the domestic-LLC line specifically — a same-word, different-entity-type, or foreign-only statute is never coerced into a yes. Georgia is a documented typed unknown on all four fields.

What is a Close LLC?
An electable statutory status — typically adopted by a statement in the articles of organization — that alters an LLC's default rules on transfer restrictions, member withdrawal, or capital return compared to a standard LLC. A state merely using the words "closely held" to scope an unrelated procedural rule does not count; the matrix requires an affirmative, electable governance status.
What is a Series LLC, and how is this different from the Series LLC matrix?
A Series LLC lets a single LLC internally designate one or more series of members, managers, interests, or assets, each shielded from the others' liabilities. This field records only whether DOMESTIC formation is authorized — recognizing an out-of-state series without domestic-formation authority does not count as yes. What is a DAO LLC?
A dedicated statutory election letting an LLC organize as a "decentralized autonomous organization," with its own named chapter and a legal-name marker requirement. As of this matrix's research pass, exactly 2 of 51 jurisdictions have enacted one — Wyoming (2021, the first in the nation) and Tennessee (2022). A handful of states have similarly-named but unrelated statutes (blockchain-business elections, non-LLC entity types, pre-blockchain nonprofit frameworks) that do not qualify. What does "lifetime proxy" mean?
Whether a member can appoint someone to exercise their voting or consent rights with no statutory expiration and no default term that must be overridden. Most states allow proxy voting but cap or default it to a term the operating agreement can override — that is recorded as conditional, not yes. A flat statutory cap with no override path (Louisiana's 3-year ceiling) is recorded as no.
