Field definitions

Conversion fee
The state filing fee to file a certificate, statement or articles of conversion for a domestic LLC converting to or from another entity type, as the state's statute or the filing office's fee schedule states it. “No LLC conversion filing” means the state's own sources show no conversion procedure for an LLC.

What this matrix covers

This matrix reports the state filing fees to file a certificate, statement or articles of conversion for an LLC converting to or from another entity type.

Each row's (source) link opens the primary official document for its fee. When an amount in a row is stated in a different official document, the row names that document after “Also cited” with its pinpoint, a line taken from it carries its bracketed number, and the document is linked under Sources. Fees are the state's filing fees as the source states them. A fee the state itself collects is listed even when the state labels it a registered-agent fee or a service charge; charges by commercial registered agents and other third-party service providers are excluded. “No LLC conversion filing” means the state's own sources show no conversion procedure for an LLC, so no conversion fee is stated; the line under it gives that state's stated reason. Where the checked sources do not state a conversion fee that can be tied to an LLC, the row carries the Unknown badge. It is not a recommendation to convert an entity or to choose a jurisdiction.

How to read this matrix

Each row is a U.S. jurisdiction (50 states plus the District of Columbia). The headline text is the state filing fee to file a certificate, statement or articles of conversion for an LLC converting to or from another entity type, as the state's statute or the filing office's fee schedule states it.

A fee the state itself collects is listed even when the state labels it a registered-agent fee or a service charge; charges by commercial registered agents and other third-party service providers are excluded. Beneath the headline, each base fee is listed first, then each conditional charge with the condition its source attaches to it, then each optional line, such as expedited handling or a certified copy, labeled optional. Where a source states a formula, the formula follows, then a short quotation and a pinpoint to the cited provision or schedule heading. “No LLC conversion filing” means the state's own sources show no conversion procedure for an LLC, so no conversion fee is stated; the line under it gives that state's stated reason. A typed unknown (shown as “Unknown”) means the checked sources do not state a conversion fee that can be tied to an LLC; the line under it gives the reason. It is a methodological limit, not a confirmed absence of a fee. Each row's (source) link opens the primary official document for its fee. When an amount in a row is stated in a different official document, the row names that document after “Also cited” with its pinpoint, a line taken from it carries its bracketed number, and the document is linked under Sources. States can revise fees at any time — confirm against the linked source before filing. Method notes live at /about/methodology/.

Sources

Each row's (source) link opens the primary official document for its fee.

The additional official documents that rows name after “Also cited” are linked below by state and bracketed number. The full source taxonomy lives at /about/source-registry/.

How to read Unknown

Unknown: Verified absence
The captured authority was searched and shows no such rule or filing. No value is printed because the absence is the finding. The reason and the authority are printed beside the badge.
Unknown: Not yet verified
The captured sources did not settle this field yet. No value is printed, not even an earlier one. The reason is printed beside the badge, and an authority is linked only when one was supplied.

Frequently asked questions

What does the LLC conversion fee table list?

It lists the state filing fees to file a certificate, statement or articles of conversion for an LLC converting to or from another entity type, for all 50 states and the District of Columbia, as each state's statute or filing-office fee schedule states them. It does not compile which states authorize a conversion, how a conversion is taxed, or which entity type or state to choose; the one state whose own sources show no conversion filing is shown with that state's stated reason.

Why do some rows list more than one amount?

A source can state a base conversion fee, conditional charges that depend on the entity type or direction of the conversion, and optional lines such as expedited handling or a certified copy. The matrix prints the base fee first, then each conditional charge with the condition its source attaches to it, then each optional line labeled optional, instead of combining them into one figure.

Why does Missouri show “No LLC conversion filing”?

Missouri's LLC Act (RSMo ch. 347) has no conversion article and the SOS fee schedule has no conversion line in any chapter; statutory conversion is not available for Missouri LLCs.

Are these fees current?

Each row links to the state's official source and shows the date it was last checked. States can revise fees at any time — confirm against the linked source before filing.
